We will provide you with end-of-year tax documents. We will send you email notifications so that you can download your documents directly from your aShareX account.
Our mission is to democratize ownership of high-value investable assets. As long as you make at least $50,000 per year, or have at least $50,000 in investable assets, you may participate in our auctions. Whether you can afford the minimum bid amount of $5,000 or you have the financial wherewithal to bid for outright ownership, we want to make historically exclusive asset classes available to as many people as possible. Our platform is not only for individuals - you may also invest as a joint account, business or trust. If you wish to invest as a consortium, pension fund, foundation, endowment, or ERISA plan, please contact us at support@asharex.com.
We either store fractionalized assets in a professionally-secured and bonded facility in the United States or in a museum.
Unlike other fractionalization managers that decide when to sell the artwork on your behalf, we put the control in your hands. In the 6th and 7th years of ownership, shareholders vote by simple majority (based on the number of shares owned) whether to sell the asset. If the shareholders vote to hold the asset in the 6th and 7th years, we will sell the asset in the 8th year and distribute the net proceeds to the shareholders.
Fractional shareholders can expect to receive payment once the asset in which they have invested is sold. We do not expect to pay any dividends during the asset holding period.
When fractional bidders win an auction, they have seven (7) days to remit payment. When a full bidder wins an auction, they will be contacted directly by aShareX or our auction house partners to coordinate payment and shipping.
Your Spending Limit is the maximum amount you can spend in our auctions. This number is inclusive of your Bidding Limit (the maximum amount you can bid in our auctions) plus estimated Auction Fees.
You may participate in our auctions on most laptop or desktop computers, tablets, and mobile devices. Our platform works with all major browsers, including Chrome, Edge, Safari, and Firefox.
A One Time Bid is a one time offer to buy placed at the Now Asking Price at the participant’s Bid Amount. An Auto Bid is a continuous offer to buy at the participant’s Bid Amount up to and including the participant’s maximum Asking Price, until the participant has either won the auction or their maximum Asking Price has been exceeded. Please review our Auction Rules for additional details.
Fractional ownership is less than 100% ownership of an asset. Fractionalization enables investors to purchase shares in assets that they might be otherwise unable to afford.
We enable true market-based pricing. Unlike other fractionalization managers that acquire the asset, mark up the price and then sell shares at that price, we let the market, or bidders, ultimately determine the asset’s value.
We are legally required to complete identity verifications for Know Your Customer (KYC) or Know Your Business (KYB) purposes. KYC and KYB are legal requirements for financial institutions and financial services companies to help prevent identity theft, financial fraud, money laundering, and other financial crimes. As such, we require you to verify personal information such as your date of birth, address, and social security number.
The last fractional bid placed at an Asking Price may be prorated to the remaining unfilled dollar amount. If the fractional bidder is placing an Auto Bid, the aShareX system will increase the Bid Amount in future Asking Prices to the originally requested Bid Amount provided it does not exceed the amount remaining in the future Asking Prices.
A Pre-Bid is an Auto Bid placed during the Pre-Bidding period, which occurs during a pre-defined period of time prior to the live auction’s commencement. Pre-Bids help to secure priority for your bid up to your maximum indicated Asking Price. We place your bid on your behalf, so even if you cannot attend the live auction, your bid will be included! Please note that Pre-Bids can be modified or canceled prior to the end of the Pre-Bidding period, but are binding thereafter. Please review our Auction Rules for additional details.
A Delaware Series LLC (the “Company”) is a type of limited liability company (“LLC”) that allows for the creation of individual “Series” (or “mini-LLCs”) within the overall framework of a single LLC. Each Series operates like a separate entity, with its own shareholders and asset. The Series is the entity that indirectly owns the asset and the entity in which Investors invest. Each new asset offered for auction will be filed with the SEC under its own Series designation.
The key feature of a Delaware Series LLC is the ability to separate assets into separate Series and insulate each Series from the debts and liabilities of the Series LLC generally and all other Series of the Series LLC. This means that the debts, liabilities, obligations, and expenses incurred by a particular Series are enforceable against the assets of that Series only, and not against the assets of the LLC generally or any other Series. The Delaware Series LLC is not expected to have significant, standalone assets or liabilities.
When fractional bidders win an auction, the auction winners receive shares representing their proportional interests in a Delaware LLC. The Delaware LLC wholly-owns a Cayman Corp, and the Cayman Corp has title to the asset. The asset is insured and either stored in a professionally-secured and bonded facility located in the United States or a museum. Please review our Offering Circulars for complete details.
We may receive a compelling offer from an independent third party to buy an asset at any time. Should this occur, we may initiate a vote by the shareholders to determine whether or not they want to sell the asset at that price
There are a few options for selling your shares in an artwork:
You can sell your shares on the aShareX secondary market, which can offer unique tax benefits.
Investors also have the right to vote during the 6th and 7th years of ownership to sell the artwork. If a simple majority votes in favor of a sale, aShareX will sell the artwork on the investors’ behalf and distribute the net proceeds to investors.
If the investors vote to maintain ownership of the artwork in the 6th and 7th years, during the 8th year aShareX will sell the artwork and then distribute the net proceeds to investors.
Any bid you place in one of our auctions is considered a legally-binding declaration that you will pay should your bid be deemed a winning bid. If you fail to make a payment after winning an auction, you will be permanently banned from using our platform. If the auction is being conducted in collaboration with one of our auction house partners, you may also be banned from participating in their future auctions. Please note that aShareX and our auction house partners reserve the right to take legal action against you to collect payment.
- Buyer’s Premium: The Buyer’s Premium is a commission payable to the auction house. The Buyer’s Premium for a particular auction may be viewed on that auction’s registration page.
- Sourcing Fee: When fractional bidders win an auction, we charge a 6% Sourcing Fee on the winning hammer price that pays for storage, security, insurance, and administrative costs associated with maintaining the asset. This does not apply to full bidders who take outright physical ownership of the asset upon winning an auction.
- Secondary Market: For secondary market transactions, we charge 2.5% to both the buyer and seller of shares.
- Performance Fee: We retain 10% of any profits upon the ultimate asset sale.
We accept fiat currencies only (i.e., U.S. dollars). Acceptable forms of payment include ACH, wire transfer, and check. Please note that we do not currently accept any cryptocurrencies.
Alongside our auction house partners, we conduct lending-grade due diligence on all assets selected for auction. We share this information with prospective bidders to empower them to make informed purchase decisions. We typically provide an estimated value range for the asset, a condition report, provenance, export certificate, exhibition and publication histories, and a catalogue raisonné. Please note that documentation may vary for different asset classes.
When you buy a fractional ownership interest in an asset you receive shares representing that interest. The number of shares you receive is proportional to the amount of your winning fractional bid as a percentage of the total asset sale price.
The value of luxury goods such as diamonds, gems or jewelry can be affected by a number of factors. Such factors may include, but are not limited to: any harm to the reputation of the manufacturers related to the luxury goods; change in consumer tastes, resulting in a decrease in demand; any downturn in the luxury goods industry as a whole. However, high-quality gems are scarce resources, so their limited supply combined with any increases to demand can positively impact prices. Please review our Offering Circulars for additional information.
Like many speculative assets, the value of fine art can be affected by market factors including supply and demand. Art is also inherently subjective, and as such the demand for a particular artist, style, or genre may fluctuate with trends or opinions. However, blue-chip art, no matter the characterization, generally remains in high demand due to established quality and increasing exclusivity over time. Please review our Offering Circulars for additional information.
We offer a number of benefits for sellers, including but not limited to:
- Fractionalization deepens the addressable market by enabling a new pool of fractional bidders to participate in auctions.
- Fractionalization enables sellers, if desired, to retain partial ownership of an asset and thereby participate in any potential financial upside resulting from appreciation of the asset.
- Increased buyer participation provides potential for quicker inventory turnover.
As a winning fractional bidder, you will need to submit payment (ACH, check or wire transfer) and sign the paperwork we will send you via DocuSign.
It typically takes 2-8 weeks for the offering to close, at which point we will notify you that your shares have been issued.
The minimum bid amount in our auctions is US$5,000.
A fractional bidder may bid up to their Bidding Limit, although they may not bid for more than 70% of any given Asking Price. A full bidder may bid up to their Bidding Limit. Please note that we are legally required to disclose in an SEC filing the name of any fractional shareholder who has a 10% or higher ownership interest in a given Offering.
Our Offerings are classified as Regulation A+. If you are an accredited investor, there is no limit to how much you may invest. If you are not an accredited investor, you may invest up to 10% of your net worth (less real estate holdings) or your annual household income (whichever is greater) per Series. For more details, please visit https://www.investor.gov./. Please note that we are legally required to disclose in an SEC filing the name of any fractional shareholder who has a 10% or higher ownership interest in a given Offering.
All of our Offerings are qualified by the Securities and Exchange Commission (SEC). We have also partnered with FINRA-registered Broker-Dealers for our primary auction and secondary market transactions, as well as an SEC-approved Transfer Agent.
If you win full ownership of an asset, a member of our team or a representative from one of our auction house partners will contact you to arrange payment and transportation.
Our secondary market operates as an ATS where we match buyers and sellers of fractional ownership shares. Sellers can list their shares for sale at a price of their choosing, or prospective buyers may list their offers to buy at prices of their choosing.
Please contact us at support@asharex.com for any account-related inquiries.
We partner with premier auction houses, dealers, gallerists, and private sellers around the world to source the finest assets for auction. Our team of industry experts conducts a rigorous vetting process, securing all available due diligence alongside our auction house partners to validate the asset’s authenticity, condition, and provenance.
At the end of the holding period, our team of industry experts will determine the method of sale that represents the best interests of the shareholders. Depending on market conditions at the time of sale, we may sell the asset via open or closed auction, or to a private or institutional buyer via private sale.
As a financial services platform that sells securities, we are required by law to collect and store certain personal information about our investors. We hold ourselves to FINRA standards for information security. We may share your information with our FINRA-registered Broker-Dealers, SEC-approved Transfer Agent, Escrow, Payment Service Providers (i.e., Plaid), and auction house partners. Please review our Privacy Policy for full details.
Our auctions are similar to traditional auctions. The key difference is we enable fractional bidders to participate alongside full bidders who want to own the asset outright. Traditional auctions only allow participants to bid for outright ownership of the asset.
We provide annual third party appraisals on all fractionalized assets so you have full visibility into how your investments are performing and can manage your portfolio in the way that works best for you.
We will never sell your personal data. We may share your information with our FINRA-registered Broker-Dealers, SEC-approved Transfer Agent, Escrow, Payment Service Providers (i.e., Plaid, Dwolla), and auction house partners. Please review our Privacy Policy for full details.
Please contact us at support@asharex.com to discuss details with a member of our team
For specific details, please contact your accountant or tax professional.
We may purchase shares in the asset, but we never own 100% of the asset outright. We are, at our core, an exchange that connects buyers and sellers.
You are pre-approved for your Spending Limit during our bidder registration process, although you may request an increase at any time. We may ask for additional information depending on the size of the increase you request. To request a higher Spending Limit, please email us at support@asharex.com.
There may be public disclosure and trading implications of owning 10% or more of the shares in an individual series.
If you hold 10% or more of the shares issued by aShareX Fine Art, LLC (the “Company” or the aggregation of all the Series), there may be adverse tax consequences. See full details here.
At present, we accept fractional bidders who are citizens of the United States. Full bidders seeking to purchase outright ownership of an asset may participate regardless of their citizenship (countries under embargo excepted).
For many auctions, we have Customer Service Representatives who will bid as proxies on your behalf, just like a traditional auction house. Please note that this service is only available for full bidders. Fractional bidders may only place bids online.
Many of our auctions are held in partnership with major auction houses. As such, it is oftentimes possible to bid in-person at the auction house partner’s physical location. Please note that you must bid for full ownership of the asset if you are going to attend an auction in-person. Fractional bidders may only place bids online.
We accept fractional and full bidders globally provided they pass KYC (Know Your Customer).
